This Agreement ("Agreement") sets forth the terms and conditions for the use of the website, mobile application, and any other related services (collevely, "Online Services") provided by SIP THERMOVISION S.R.L. ("SIP THERMOVISION," "We," or "Company") to users ("User" or "You"). By accessing or using the Online Services, you confirm that you have read, understood, and agreed to all the terms and conditions of this Agreement.

SIP THERMOVISION reserves the right to modify these Terms at any time. Any changes will take effect immediately after the new Terms are published on any of our platforms. Such modifications shall require a renewal of consent, and the "user" will be instructed and directed in the appropriate manner. For significant changes (such as changes to rights or fees/payment plans), we will notify you via email or in-app, offering you the option to opt-out of paid services as per provided instructions.

If you do not agree to be legally bound by the Terms and Conditions of Thermovision and its related uses and services, please reject the prompted Terms and discontinue the use of the Thermovision services.

The Thermovision application, which works via a software algorithm in tandem with a designated piece of hardware (Thermal Camera), provides thermal imagery of chosen body parts which is further used by medical professionals or/and non-medical support staff which have access to the agreed upon information that will be specified below in the following paragraphs.

By submitting consent to the Terms and Conditions of Thermovision, the user (the term used to describe all designated profiles such as "User", "Patient" or "Doctor") agrees to these explicit Terms. A direct acknowledgement will be needed in order to process consent.

Users who explicitly reject the Terms and those under the age of sixteen are prohibited from utilizing any Thermovision services.

The use of our software application and potentially in conjunction with our allotted Thermal camera can only be achieved through the following methods:
• Thermovision website: https://thermovisioncare.com/
• Our mobile application is available on: Google play store and IOS AppStore

1.3.1 Access to the application is conditioned by the following:
• prior, full and unconditional acceptance of the provisions of the present General Terms and Conditions as mentioned above;
• User Account creation and activation;
• Fulfilment of minimum age requirements - at least 16 years old. Individuals under this age limit are banned/not allowed to access the application.

1.3.2 Failure to comply with any of the above conditions will result in the inability to download, access, and run the application.

The application can be downloaded for free as a mobile app through various app stores (e.g. iTunes through the App Store and Google through the Google Play Store). User can run the application by downloading the respective mobile application from the store on his device.

The license agreement regarding the free use of the mobile application enters into force by downloading the application on the user's device and accepting the present General Terms and Conditions as mentioned above.

The app stores are not responsible for facilitating maintenance and support services for the mobile application. All updates and upgrades are made available by Thermovision.

Downloading the application from a mobile app is governed by the terms and conditions of the respective app store.

The thermal camera is a hardware device specifically designed to connect directly to the user's mobile device via the charging port (e.g., USB-C or Lightning, depending on the phone model). It is powered through the phone's charging port and allows capturing thermal images of the skin's surface.

The thermal camera can be purchased along with a subscription to our Services. Details regarding the price, technical specifications, and product warranty are available on our official website and app.

To fully utilize the Online Services, the thermal camera provided by SIP THERMOVISION S.R.L. is required. Using other hardware devices is not permitted and may lead to incompatibilities or limited functionalities of the Online Services.

• The thermal scanning service uses the thermal camera to capture thermal images of the skin's surface, providing a preliminary assessment of thermal distribution and identifying potential anomalies.
• The results obtained do not constitute a medical diagnosis and do not replace a direct consultation with a doctor or specialist. The service is intended for personal use only; the user account cannot be used to assess the health of other individuals. The aforementioned information does not apply to accounts generated by and for healthcare specialists that create lists of their patients and evaluate their needs.
• The platform allows users to save, organize, and analyze the series of captured thermal images, facilitating the monitoring of thermal parameters over time. These additional features support health tracking but do not constitute a medical diagnosis.

The Account can be created either on the web page/platform (browser) or through the mobile application downloaded on the User's device.

To use the platform, User is required to register, or have previously registered, an account ("Account"). Creation and use of Accounts, are subject to the following terms and conditions:
• User may create an Account only if they are "natural persons" and meet the minimum age limit - (Corporations, Limited Liability Companies, partnerships and other legal or business entities may not create an Account).

When User creates or updates an Account, User must:
• Provide and e-mail address and password (collectively referred to hereunder as "Login Information"). You may not use your real name as the password for the Account, and you cannot share the Account or the Login Information with anyone, unless the terms of this Agreement allow it.
• User can log in to the Account both through the application downloaded or through the web page related to the application.

• User undertakes to keep the Login information confidential and to inform Thermovision without delay as soon as he acknowledges or suspects that his Login Information is known to unauthorized third parties. In this case, the User himself will modify the data or request that we modify the data. , in such a situation we have the right to temporarily block the User's access. As long as no notification is registered by User in this regard, we will be entitled to assume that anyone logging into your account using your Login information is either you or someone logging in with your permission. Failure on your side to keep the Login information secret leads to your full responsibility for any consequences suffered by us as a result of this (including any unauthorized purchases) and as such User agrees to fully compensate Thermovision for any losses or harm that may result.

• User is solely responsible for maintaining the confidentiality of the Login Information, and will be responsible for all uses of the Login Information, including purchases, whether or not authorized by User.

User is responsible for anything that happens through the Account.

The Thermovision services (which include complete and unrestricted use of the mobile app in conjunction with our thermal imagery camera) can only be utilized on a payment plan that includes the costs related to any devices needed required to fully use our services.

Such costs or any additional charges will be clearly specified on our webpage and mobile apps and will require additional consent to the charges by verifying the billing details of each user.

All information concerning payment plans can be found on our website and app.

Payments: To access certain additional features or purchase the thermal camera, you may be required to provide payment information through a third-party processor. Service and product fees will be displayed within the app and/or website before completing the transaction.

Subscriptions: If services are offered on a subscription basis, details regarding the duration, cost, and renewal of the subscription will be specified at the time of purchase. Subscriptions automatically renew unless otherwise specified.

Thermovision reserves the right to alter, suspend, discontinue or permanently close the services provided by the company, partially or integrally, with or without notice at any given time. In such cases, a refund may be given to the User only for the fair and reasonable use of our services according to the payment plan chosen. No refunds shall be given towards the thermal imagery camera or any separate hardware/external devices that may or may not be needed for our services.

Nonetheless, if any of the terms of this agreement or any consequent version or other legal binding agreements are breached, Thermovision will terminate the account and its further use of said person which finds itself in breach of our terms and policies. Thus, such cases will be seriously treated by Thermovision by their own particularities and the User who may intentionally or accidentally breach our terms will be notified and will be promptly sent proof in the event of such circumstances.

The Online Services are provided "as is":

• SIP THERMOVISION makes no express or implied warranties regarding the accuracy, availability, or uninterrupted operation of the services.
• We do not guarantee that the services will be error-free or uninterrupted.
• The User is responsible for ensuring an appropriate technical environment (e.g., protection against viruses and other cyber threats).
• The User acknowledges that the use of the application will require computer hardware and software meeting the minimum requirements specified by Thermovision. The User further acknowledges that, as the application is updated, those requirements may change and, accordingly, the application may cease to function on the hardware of the User.
• The User acknowledges that complex software is never wholly free from defects, errors and bugs; and Thermovision gives no warranty or representation that the application will be wholly free from defects, errors and bugs.
• The User acknowledges that complex software is never entirely free from security vulnerabilities; and Thermovision gives no warranty or representation that the application will be entirely secure.

In accordance with current legislation, you have the right to withdraw from this contract without providing reasons within 14 calendar days from the date you physically received the product (thermal camera) or the last part of it.

To exercise your right of withdrawal, you must inform us of your decision using an unequivocal statement (e.g., a letter sent by post, fax, or email) to:

• You may also use our dedicated function inside our app's Help Center.
• Our representatives and dedicated team will guide you through the procedure and process of any inquiries or requests.

• Product Condition: The thermal camera must be returned in the same condition as received, without signs of wear, damage, or modifications. The original packaging must be intact, and all accessories and accompanying documents (manuals and other supporting documents) must be included.
• Return Costs: Direct return shipping costs will be borne by you. We recommend using a courier service that ensures proper transportation and protection of the product.

• Deadline: We will refund the amounts associated with the payment of the thermal camera or any other physical objects, without undue delay and no later than 14 days from the date we are informed of your decision to withdraw.
• Refund Method: Refunds will be made using the same payment method used for the initial transaction unless you expressly agree to another method. No fees will be charged for such refunds. If the user decides to receive the funds via another payment method, they must expressly indicate the desired and supported system.
• Refund Delay: We may delay the refund until we receive the product back or until you provide proof that you have returned the product, whichever is earlier.

We do not refund any amounts associated with our payment plan or subscriptions that only entitle the customer to use our software.

We may not refund the amounts associated with our thermal camera or any other physical devices in the following circumstances:
• Sealed Products: The thermal camera has been unsealed after delivery and cannot be returned for health protection or hygiene reasons.
• Damaged Products: The thermal camera shows signs of wear, damage, or modifications that affect the product's integrity and functionality. Therefore, you may not be entitled to a refund of the full amount or any amount at all.

Thermovision does not cover any delivery costs when purchasing our devices or when the user wishes to withdraw from our agreement and return the thermal camera or other devices.

By agreeing to our Terms and Conditions, the User agrees that the services provided by Thermovision are to be used only in accordance with our instructions of use and their intended purposes. Our services are not completely dependable, like an independent medical service or any alternatives that may include an individual appointment made to a certified medical practitioner made by the user of their own will.

After uploading the thermal images captured of the designated areas, our partnered medical staff will provide answers depending on each individual situation, expertise, risk and by the quality level of the uploaded thermal imagery. Users will be given clear instructions on how to use our software and hardware and equipment safely and correctly to produce the best possible results.

The users also agree that the use of the thermal camera or any other devices and their subsequent applications are their own responsibility, and they will proceed as per our clear instructions. Thermovision is not liable for any inappropriate use of our thermal imagery camera or any transgression, accidental or intentional, that may jeopardize the quality or results of our services.

Thermovision is also not liable for your decision not to pursue a medical appointment of your own, or any instructions given by separate medical entities. Thermovision is not liable for your decision not to pursue a risk assessment provided by our services or any other instructions given by our staff or partners. Only the user is responsible for his decisions on how to pursue and proceed with the presented options.

If a medical emergency arises, or you possess any serious concern about your health, you should seek immediate medical attention.

We do not have any liability in the case of any potential losses that result from any event/s beyond our reasonable control or such appreciation that such capability may exist.

We are not responsible for errors, inaccuracies, or discrepancies in the information presented.

To the maximum extent permitted by law, our liability is limited to the amounts you actually paid for the respective services.

• Copyright: All design elements, content, texts, logos, and other materials on the platform are protected by copyright and other intellectual property rights.
• Trademarks: The "SIP THERMOVISION" brand and associated logo are registered trademarks of SIP THERMOVISION S.R.L. No part of these materials may be copied, distributed, or used for commercial purposes without prior written consent from SIP THERMOVISION.

Consumer protection laws and regulations may apply accordingly to the region of every user.

The services provided by SIP THERMOVISION SRL are bound and governed by the laws of Romania and granted, are subject to the jurisdiction of the Romanian Courts and applicable European Union jurisdictions.

SIP THERMOVISION reserves the right to modify, temporarily suspend, or permanently discontinue any part of the Online Services at any time, generally without prior notice.

In the case of significant changes affecting paid services, you will be notified in advance and, if applicable, granted a proportional refund for the unused period.

Access to Services may be suspended or terminated if this Agreement is violated or if services are misused.

SIP THERMOVISION may periodically update these Terms without prior notice. However, you will be notified of any changes to our General Terms and Conditions and other associated documenation. Continued use of the Services after changes are published implies your acceptance of the new terms.
